and related rights, appointed by the Minister after consultation with such
person as the Minister may deem appropriate; and
(h) 3 members of the Society, to be elected in such manner as the Society may
determine.
(5)
Members of the Board shall hold office for 3 years and shall be eligible for re-
appointment or re-election for one additional term.
(6) At any meeting of the Board, 7 members shall constitute a quorum.
(7)
Every member of the Board shall be paid such allowance or fees as the Board may
determine after consultation with the Minister.
44. � Appointment of staff
(1) The Board shall appoint on such terms and conditions as appropriate —
(a) a Director who shall —
(i)
be responsible for the day-to-day management of the Society;
(ii) execute the policy of the Board; and
(iii) act in accordance with such directions, not inconsistent with this Act, as
he may receive from the Board;
(b) such other staff as may be necessary for the proper discharge of the functions
of the Society.
(2)
The staff referred to in subsection (l)(b) shall be under the administrative control of
the Director.
